These are the terms and conditions upon which each Registrar, Voter, Affiliate and Visitor to the e2awards website and Awards Programme shall be subject. You will be bound by these terms and conditions; upon your registration to achieve one of our Customer Service Excellence Awards, all shall be considered and judged in accordance with these terms below. We reserve the right to amend these terms and conditions at any time and such changes shall be deemed notified to you by publication online. Except as otherwise provided in this Agreement or with the consent of the other party hereto, each of the parties agrees that all information including, without limitation, the terms of this Agreement, business and financial information, customer and vendor lists, and pricing and sales information, concerning us or you, respectively, or any of our affiliates provided by or on behalf of any of them shall remain strictly confidential and secret and shall not be utilised, directly or indirectly, by such party for its own business purposes or for any other purpose except and solely to the extent that any such information is generally known or available to the public or through a source or sources other than such party hereto or its affiliates.

This Agreement shall not be construed or interpreted in favour or against E2Awards Ltd or you on the basis of draftsman ship or preparation of the Agreement.

Nominees & Voters
Definition
The following terms shall have the following meaning in these terms and conditions: “E2Awards Ltd” meaning www.e2awards.com and certified digital Awards for Excellence in Customer Service. “Customer Service Rank” is a ranking result derived from your customer votes presented to you in a report. “Category” the voting category you have chosen to achieve your award. “Affiliate's” are independent bodies helping e2award sales on a commission basis. “Register” is the process of completion of Login details on the website, “The Website” meaning www.e2awards.com, “Voting” placed by customers when filling out an online questionnaire, “CSR” abbreviation for Customer Service Rank. “Nominees” are those visitors who have registered for a free trial or paid account by selecting voting categories against a website, department, team or individual.
E2Awards Ltd Entry Formalities
In order to validly register at E2Awards Ltd, all entries must be submitted in the English language via the online entry form and a Fee (accept for free trial entries) submitted in accordance with these terms and conditions. Each Entry must specify their correct category and completing submission, you therefore confirmed a chosen category and unable to change that category. You must have the agreement of all parties associated with the project that the submission be made. Entries cannot be made if your business or website has or is associated with unacceptable content, such as pornography, sex related merchandising, pirated software or hacker programs. E2awards Ltd Customer Service Rank
The monthly customer service ranks are derived from your customer votes and based on progressive factors over that month period. E2Awards Ltd members will be notified of their result by a monthly customer service rank report. E2Awards Ltd are not liable for any unforeseen circumstances that the customer service rank is not delivered to the member on the due date, it is something we guarantee to rectify as soon as possible. The rejection or approval of votes will be the responsibility of the nominee. Any rejection of votes will be notified to all parties and any disputes by voters will be placed into arbitration. These discretions will be assessed at an E2Awards Ltd administrators and our decision will be final. Plus, you do not have the right to dispute the CSR results between you and any other businesses or users to the E2Awards Ltd team once the ranking reports are sent. Our judgement is final. E2Awards Ltd has the right to adjust the customer service ranks higher or lower, due to an overall assessment of your account. A number of factors are considered and E2Awards Ltd have the final say on amendments (also known as customer service rank adjustments) and if to make these public or not.
Judging Criteria
E2Awards Ltd shall consider all aspects of the voting process and everything will be done in accordance to the terms and conditions. The CSR is a calculated formula which is not derived from a judging panel. Your customers are the judges, based on the points placed against the questionnaire and your actions as an E2Awards Ltd member during the duration of the month, the rank result will appear as a percentage taking into account all these factors.
Authorisations
Visitors of the E2Awards Ltd website must have the correct authorisation for access to the Login and also to access votes. You are under strict rules to not give these details to anyone for your own benefit. If you are a visitor of the E2Awards Ltd website, you will only be able to access a majority of this Website without having to register any details with us. However, particular areas of this Website will only be accessible if you have registered. Prohibited businesses from using E2Awards Ltd are Pornography or other sexually explicit websites.
Suspensions and Termination
E2Awards Ltd reserves the right to suspend or withdraw the site at any time without notice. E2Awards Ltd also reserves the right to suspend or terminate any member's registration and use of the Site without any notice. Under any grounds if a member is not complying to the terms and conditions, if votes are being contrived, or if a member is falsely rejecting customer votes, we have the right to suspend your programme. Any rejection or approval of votes will be notified to both the arbitrary and also the consumer that placed the votes. The discretions will be assessed at a meeting forum and our decision is final. You do not have the right to dispute the results between you and other businesses/ users to the E2Awards Ltd team. Our judgement is final.
Orders
All orders within the EU will be charged VAT at 20%. Orders outside the EU will not pay any VAT. All transactions are in GB pound sterling.
Charges/Refunds
You will receive confirmation of your payment and a dated invoice, failure to pay your membership, will result in a late payment charge. Late payment is defined as having not paid within 30 days of the date that appears on the invoice. In the case of late payment we reserve the right to charge interest on all outstanding payments until payment is made. We have the discretion to terminate the account without granting a refund and all refunds will be assessed on a case by case basis.
E2Awards Ltd retains the right to change any or all of the above Policies, Guidelines, and Disclaimer without notification.
Nominee Membership
Full Members of the E2Awards Ltd programme shall be entitled to the following: Access to the nominee dashboard, all cases an E2Awards Ltd membership is one calendar year, 12 Monthly Customer Service Ranks, the potential to win a bronze, silver or gold award, monitor customers votes, approve and reject your customer votes and upon registration you agree to receive newsletters and emails as a regular follow up on your progress. To help and support you along your programme. These emails are not spam and are legitimate emails.
Free Trail members are entitled to the following: Access to the nominee dashboard and 1 Monthly Customer Service Rank result and report.
Voting Rules
We only allow legitimate voting to take place and the way you track and monitor votes is followed accordingly under the rules of the terms and conditions. If the website is not available for voting, or if there is a delay on receiving your rank, be assured that the situation will be rectified as soon as possible.
Suspect Votes
We have imposed several validations for the screening of suspect votes and any that are flagged as suspect will not be counted towards the CSR until the E2Awards Ltd administration team has investigated and either approved or rejected the vote. If we approve the vote, the date the vote is approved will be the date the CSR is adjusted. Our judgement is final.
Discount Codes
Any discount we provide will be date pendant. E2Awards Ltd has the right to cancel the discount code offer/promotion at any given time.
Back Link Rules
Ensure that the website you have registered your E2Awards Ltd services is a legitimate website. You are eligible to use the back link domain verification only if a member of E2Awards Ltd. If you do not verify the back link, you will be penalised in your final CSR result, due to failure to prove the your website is the website you registered for the awards programme.
30 Day Money Back Guarantee
Free trial customers who sign up to a paid account is not entitled to the 30 day money back guarantee. It only applies to those nominees who sign up without a free trial.
Affiliates
Eligibility
Enrolment to the E2Awards Ltd' Affiliate Programme is open to all. To be an affiliate you DO NOT need to be a member of the E2Awards Ltd programme or own your own website. Acceptance into the Programme is at our sole discretion, which may be withheld for any reason or for no reason at all. The provisions contained in these Affiliate Programme Terms and Conditions (the "Agreement") are supplemental to the E2Awards Ltd General Terms and Conditions above, by which you are also bound, to the extent they are not modified by this Agreement. You agree to keep your own Affiliate contact information accurate.
Suitability
We may reject your participation in this Programme if we determine, at any time and at our sole discretion, that you or your Site is unsuitable for the Programme. Your Site may be deemed by us to be unsuitable if, in our view, it: contains, promotes or links to discriminatory, sexually explicit or violent material. Promotes, depicts or links to material that promotes or depicts discrimination based on race, gender, religion, national origin, physical or mental disability, sexual orientation, or age. Contains information regarding, promotes or links to a site that provides information or promotes illegal activity; or for any other reason that is deemed by us to be unsuitable. You understand that E2Awards Ltd.com reserves the right to conclude that you or your site is unsuitable in accordance with our standards, in our sole discretion, and we may come to such a conclusion even if it is based upon our opinion or mere suspicion or belief, without any duty to prove that our opinion or suspicion is well-founded and even if our opinion or suspicion is proven not to be well-founded or if others' sites have not been deemed unsuitable despite having the same or similar characteristics as Your Site.
Usage
We will be responsible for providing all information necessary to allow you to make appropriate Link from Your Site to Our Site. You may display the provided Link prominently throughout Your Site as you see fit and without our prior consent subject to the terms and limitations of this Agreement. You may be entitled to participate and promote on Your Site but only of positive content. In utilising any E2Awards Ltd provided Link, you agree that you will cooperate fully with us in order to establish and maintain such Link. You may not use unsolicited commercial e-mail (UCE), spam, or other illegal or unethical means by which to generate referral commissions.
Responsibilities
You shall have no authority to, and shall not bind E2Awards Ltd to any obligations, except as may be expressly set forth herein to the contrary or as otherwise agreed to and approved in advance in writing by E2Awards Ltd. Nothing in this Agreement or any conduct of either party shall be deemed to constitute an employment or agency relationship. You are solely responsible for ensuring that Your Site and your products and services that you offer from Your Site comply with all applicable copyright and other laws including anti-spam laws. You must have express permission to use another party's copyrighted or other proprietary material. We will not be responsible if you use another party's copyrighted or other proprietary material on Your Site in violation of the law or any agreement. We have the right, but not the obligation, in our sole discretion, to monitor Your Site and your usage of the Link at any time and from time to time to determine if you are in compliance with the terms of this Agreement.
Commission Fees
Your entitlement to an earned commission will accrue only if the customer: accesses Our Site through the use of a Link on Your Site, purchases the E2Awards Ltd services using our online signup process, remits full payment to us and remains a customer beyond the 30 day period. You understand that buying your own awards programme with your affiliate link is not permitted, as the program is intended to assist E2Awards Ltd.com in gaining new customers. Abuse of this self-buying privilege may cause your commissions to be retracted, and/or your status as an affiliate to be terminated at our discretion.. The Affiliate Programme is intended for commercial use only. We will calculate your commission based on the terms agreed on the affiliate page. We will also settle all orders after the 30 day money back guarantee period has elapsed. The payments will then be made in the first week of the following month and then each month after that.
Payments
You will earn Commissions based on the sale of E2Awards Ltd’ Services according to the current fee schedule for the Affiliate Programme and the guidelines of this Agreement, set during the month in which such services are sold. We reserve the right to modify the commission value of a sold product or service at any time. Payment will be made to you either via PayPal or via mailed cheque to your address for UK affiliates only. E2Awards Ltd will track the Commissions earned per Affiliate. E2Awards Ltd will track all Commissions earned and may, at its absolute discretion, decide not to pay any Commission who E2Awards Ltd believes that any referral has been made in violation of its technical guidelines, due to referral/customer fraud, or due to referral/customer contract cancellation. It is the Affiliate's sole and absolute duty to follow precisely this Agreement and its guidelines at all times. E2Awards Ltd is under no obligation whatsoever to pay any Commission to any Affiliate who does not strictly follow this Agreement and its guidelines, as modified from time to time. E2Awards Ltd reserves the right to prosecute or take legal action against any fraud, or conspiracy to defraud and to recover any Commissions paid to an Affiliate which were earned as a result of such fraud. Fraud includes knowingly violating the terms and spirit of this Agreement.
Policies
Customers who buy E2Awards Ltd services through the Affiliate Programme will be deemed to be customers of E2Awards Ltd after they have passed beyond the E2Awards Ltd Guarantee Period. Accordingly, all of our rules, policies, and operating procedures concerning customer applications, customer service, and sales of our services will apply to those customers. We may change our policies and operating procedures at any time.
Publicity
You shall not create, publish, distribute, or permit any written or graphical material that makes reference to E2Awards Ltd other than those mentioned in this Agreement or otherwise provided by E2Awards Ltd, without our prior written consent, which may be granted, in our sole discretion, provided such materials are not in direct conflict with E2Awards Ltd’ own marketing efforts. Other than establishing a link from Your Site to Our Site, you shall not make any use of any Licensed Materials without first obtaining our prior written consent. You shall not use the Licensed Materials in any manner that is disparaging or that otherwise portrays us in a negative light. We reserve all of our rights in the Licensed Materials and of our other proprietary rights. We, in our sole discretion, may revoke your license to use our Link or the Licensed Materials at any time. Affiliate shall comply with all guidelines provided by E2Awards Ltd with respect to the text or graphic reproduction, appearance, and "look and feel" related to the marketing and representation of the Links and E2Awards Ltd.
Termination
E2Awards Ltd may terminate this Agreement immediately at any time, with or without cause. Should you cease your publication of the Link this Agreement shall be deemed terminated by you. Violation of this Agreement shall constitute grounds for immediate termination of this Agreement.
Definition of relationship
You and E2Awards Ltd are independent bodies and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on Your Site or otherwise, that reasonably would contradict anything in this Section.
Anti-Spam
E2Awards only supports permission-based emails and has a no tolerance spam policy that we take very seriously. Your account will be terminated if you send unsolicited email messages.
